WSA Member Update 11.1.24

Dear WSA Members,

We welcome our newest WSA member, Preston Property Services LLC, located in Denver, CO. 

After asking about Preston Property Service in our last WSA Update, we received a variety of positive information about the company. The company has been in operation for over 30 years and both self-performs and subcontracts for sweeping and other services, in large part via the company’s Home Depot Master Account. You can read what is now said about the company in our Third Party Vendor area here.

The company’s head, Tom Preston, applied for WSA membership. Because his company self-performs sweeping services, it qualified for WSA membership. However, prior to signing them up I decided to have a conversation with Tom. Since it was quite positive they have been added as a WSA member. Due to Tom’s extensive experience and knowledge about both sweeper operation and subcontracting expect a Zoomcast with him to occur in the coming months.

A WSA member company contacted our office about difficulties they were having purchasing gutter broom material so their employees could make brooms in the winter and thus stay on the payroll during winter months. If you have positive experience with someplace that material can be purchased at a price that makes the endeavor cost-effective – or know of other work tasks employees can perform in the winter when sweeping can’t be done – please let me know.

Over time we have heard many sad stories from contractors that have signed vendor contracts with very one-sided clauses that put them under extreme liability jeopardy. Sometimes the contractor either hadn’t read through the contract or didn’t understand the ramifications of signing a contract with those clauses. That has spurred us to develop the Addendum linked further below, which provides a number of liability-limiting clauses to consider using.

The Addendum was developed as a result of the concepts on this document we previously provided about the importance of limiting your operational liability. Many possible clients may balk at replacing their own contract language with the clauses you will read. On the other hand, can you afford to sign contracts that, for example, make you liable for any slip-and-fall accident that occurs on a property even though you haven’t swept for days?

We have had the linked ‘WSA Advisory Contract Addendum’ reviewed by several of our Board Members. Consider it to be a document you might find helpful when you view contracts that are presented to you. As always, be sure to consult with your attorney to discuss how items in such a document might be used should you want to do so. I’m also interested in anyone’s thoughts/analysis about what you read.
